About the Role
The associate will play a key role in guiding early-stage and growth companies through all stages of their lifecycle—from formation and capital structuring to venture financings, M&A, and IPO exits. This role is ideal for an entrepreneurial associate looking for hands-on experience, meaningful client contact, and exposure to fast-moving deal environments.
K ey Responsibilities
Advise startups and venture-backed companies on formation, equity structuring, and governance
Draft and negotiate financing documents, including SAFEs, convertible notes, and NVCA-based agreements
Support venture capital funds and strategic investors in equity financings and investment rounds
Counsel clients on day-to-day corporate matters and strategic business planning
Participate in due diligence, deal management, and cap table modeling
Collaborate with partners and cross-practice teams on complex transactions
What They’re Looking For
JD from an accredited law school
3–5 years of relevant corporate transactional experience, preferably with a focus on early-stage companies and VC
Experience with cap table construction, SAFE and NVCA financings, and general corporate advisory
Exceptional communication skills and a proactive, collaborative mindset
Bar admission in the jurisdiction of your preferred office (Boston, New York, or other U.S. locations)
Compensation
Base Salary Range: $250,000 – $325,000
